These Terms of Service (“Terms”) are a legally binding agreement between you (“you,” “your,” or “User”) and NatterLab Inc. (“NatterLab,” “we,” “our,” or “us”). By accessing or using any of our products, services, or features, including but not limited to the NatterLab website (https://natterlab.ai), member spaces, Quantum Chambers, Lab Challenges, and affiliated tools (collectively, the “Services”), you agree to these Terms and our [Privacy Policy].

If you do not agree to these Terms, do not access or use the Services.

1. Eligibility and Access

You must be at least 18 years of age and have full legal capacity to enter into this agreement. By using our Services, you confirm that you meet these eligibility requirements. Access may be limited or restricted for users located in jurisdictions with specific regulatory constraints.

2. Account Creation and Security

To access certain features, you may need to create a user account. You agree to:

• Provide accurate, complete, and current information.

• Keep your login credentials secure.

• Notify us immediately of any unauthorized use.

You are responsible for all activities under your account, regardless of whether you authorized them.

3. Services Overview

NatterLab provides a collaborative ecosystem for AI and fintech creators, including:

• Public and private forums for idea sharing and discussion

• Quantum Chambers for invite-only project development

• Lab Challenges sourced from real-world business problems

• AI-powered tools integrated with partners such as OpenAI, Gamma, and Notion

• Gamified systems including NatterBytes for rewarding contributions

We may modify, enhance, or remove features from the Services at our discretion.

4. User Content

You may post, upload, or otherwise submit content to the Services (“User Content”). You retain ownership of your User Content, but grant NatterLab a worldwide, non-exclusive, royalty-free, transferable license to use, distribute, reproduce, modify, publicly display, and create derivative works of your User Content solely to operate and promote the Services.

If you co-create within a Quantum Chamber, separate terms (e.g., Contributor Agreement, IP-sharing terms) will apply and must be agreed to before content is shared.

You represent and warrant that:

• You own or have the necessary rights to your User Content

• Your content does not violate any third-party rights or applicable laws

5. Acceptable Use

You agree not to:

• Use the Services for illegal or unauthorized purposes

• Submit or distribute viruses or other harmful software

• Harass, threaten, or impersonate other users

• Scrape, data mine, or reverse engineer any part of the Services

• Use automation (bots, scripts) without our written consent

Violations may result in account suspension or termination without notice.

6. Intellectual Property Rights

All materials provided by NatterLab—including trademarks, branding, content, software, and design—are the exclusive property of NatterLab or its licensors. You may not copy, modify, distribute, or create derivative works from our content without explicit permission.

7. Membership and Payment

Certain areas of NatterLab, such as Quantum Chambers, may require payment or subscription. By enrolling in paid services:

• You agree to the posted pricing, billing cycles, and refund policies

• Access is contingent upon payment; non-payment may result in restriction or loss of access

• We reserve the right to change fees with notice

8. Termination

You may close your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms, misuse the platform, or are inactive for extended periods.

Upon termination:

• Your public contributions may remain visible

• Access to Quantum Chambers and private materials may be revoked

• NatterBytes and other non-monetary incentives are non-transferable and non-refundable

9. Disclaimers

NatterLab is provided “as is” without warranties of any kind, whether express or implied. We do not guarantee:

• Uninterrupted access

• Error-free or secure service

• That results from use will be accurate or reliable

10. Limitation of Liability

To the fullest extent permitted by law, NatterLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services.

Our aggregate liability shall not exceed the greater of (i) the total amount paid by you for the Services in the 12 months preceding the claim or (ii) $100 USD.

11. Indemnification

You agree to indemnify and hold harmless NatterLab and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Services, your User Content, or violation of these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles. Any legal action shall be brought in the federal or state courts located in Cook County, Illinois.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify users via the platform or email. Continued use of the Services after changes take effect constitutes your acceptance.
